Limited Liability Partnership Registration in India
A Limited Liability Partnership (LLP) combines the operational flexibility of a partnership with the limited liability protection of a company. Introduced under the LLP Act, 2008, it is one of the most preferred structures for professional services firms, consultancies, and small businesses in India. What is a Limited Liability Partnership?
A Limited Liability Partnership is a preferred business structure for professional services firms and small businesses in India. Registered under the LLP Act, 2008, and regulated by the Ministry of Corporate Affairs (MCA), it combines the operational flexibility of a traditional partnership with a separate legal identity and limited liability protection for each partner.
Mutual rights and duties between partners are governed by an LLP Agreement rather than rigid statutory rules, making it a natural choice for consultants, CA/CS firms, agencies, and founders who want lower compliance overhead than a company.
Key Features
- Separate legal identity from its partners
- Liability limited to each partner's agreed contribution
- Minimum 2 partners, no maximum limit
- Minimum 2 designated partners, at least one resident in India
- No minimum paid-up capital requirement
- Governed by a flexible, partner-drafted LLP Agreement
Why Choose a Limited Liability Partnership
A structure built for professional services firms and businesses that want limited liability without heavy compliance.

Low Compliance Cost
Fewer statutory filings and no mandatory audit below the turnover/capital thresholds.
Separate Legal Entity
The LLP can own property, sue, and be sued independently of its partners.
Enhanced Credibility
Builds trust with banks, vendors, and clients from day one.
Perpetual Succession
The LLP continues to exist regardless of changes in its partners.

Frequently Asked Questions
How long does LLP registration take?
Typically 10–15 working days from the time all documents are submitted, depending on Registrar of Companies (ROC) processing time and name approval.
Do I need a physical office to register an LLP?
No. You can use a residential address as your registered office. You will need a recent utility bill and an NOC from the owner.
Can a foreign national be a partner in an LLP?
Yes. A foreign national or foreign entity can be a partner, provided at least one designated partner on the LLP is a resident of India (has stayed in India for 120+ days in the previous financial year).
What is the minimum capital required?
There is no minimum capital contribution requirement under the LLP Act, 2008. Partners can contribute any amount they agree upon.
What compliance is required after incorporation?
Filing the LLP Agreement (Form 3) within 30 days, an annual Statement of Account & Solvency (Form 8), an Annual Return (Form 11), and income tax returns. A statutory audit is required only if annual turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh. Our compliance plans cover these for the first year.
